Overview
Jennifer Moseley is a Partner in the firm's Corporate & Tax practice group where she counsels public and private companies in a number of compliance and transactional matters. She is also experienced in EB-5 regional center formation, structuring and securities offering matters, as well as working with companies who seek investment in connection with the EB-5 visa regional center program under U.S. Citizenship and Immigration Services (USCIS) rules and regulations.
Jennifer works with public and private companies in stock-for-stock combinations, stock and asset purchases, cash out mergers, and tender and exchange offers. She also advises public companies on Exchange Act reporting requirements, as well as securities compliance issues and stock exchange matters for registered broker-dealers. Moseley advises companies, particularly those in the real estate, financial service, health care and EB-5 sectors, on capital and fund formation, financing strategies and corporate governance.
Jennifer has experience working with technology and tech-enabled clients in the software, healthcare IT, financial technology, and SaaS industries. She is a member of the firm’s Blockchain, Cryptocurrency and Electronic Transactions Group and advises companies on securities law compliance in the use of blockchain technology and the issuance of cryptocurrencies. Additionally, she assists financial institutions in debt and equity financing transactions and distressed-debt trade transactions.

- Represented an EB-5 issuer in an offering of limited partnership interests for a loan to a hotel development project.
- Represented an issuer in an offering of limited liability company interests to fund the acquisition of a manufacturing company.
- Represented a private equity fund in offerings of limited liability company interests to fund equity investments in real estate investment companies.
- Represented an EB-5 issuer in an offering of limited partnership interests for a preferred equity investment in a public company.
- Represented a public company acquirer in two separate cash sponsored demutualizations of insurance companies.
- Represented a public company acquirer in a cash sponsored conversion of a reciprocal insurance exchange.
- Represented a smaller reporting company issuer in a registered secondary offering.
- Represented a public company acquirer of a publicly held insurance holding company for cash consideration.
- Represented a public company in a stock merger with a private insurance company.
- Represented the seller of an insurance holding company in a cash transaction.
- Represented a public company in a stock merger with a publicly held insurance holding company.
- Represented a publicly traded issuer of trust preferred securities in a private placement.
- Represented a publicly traded issuer in a Rule 144A offering of debt securities and subsequent registration.
