Fund Formation
Burr & Forman advises clients on the structure and creation of, as well as investment in, private funds across all legal disciplines. The formation of funds involves securities, corporate finance, domestic and international tax, Employment Retirement Income Security Act (ERISA), real estate, and other experts working together to address critical fund features, such as management structure and fees, critical personnel compensation, side letter agreements for institutional investors, investment restrictions, acquisitions and dispositions, securities compliance and disclosure documents, and dissolution. Advice includes registration with the Securities Exchange Commission (SEC) or appropriate state regulatory bodies of investment advisers.
LBOs/MBOs/Recapitalization Transactions
Our attorneys represent private equity funds, management groups, and other investors in various leveraged buy-outs, management buy-outs, management buy-ins, and recapitalization transactions.
Securities Offering/IPOs
We represent issuers and underwriters in public and private securities transactions including initial private offerings, follow-on placements, and all associated securities issues. In addition, Burr has a growing presence in the Southeastern United States and counsels home-grown, “middle-market” companies in capital opportunities among local or national alternatives.
Venture Capital/Superangel Investments
We are experienced in representing companies in all stages of growth including venture capital funds in the Southeast, nationally, and offshore. We work with clients in emerging sectors such as technology, life sciences and biotechnology, telecommunications and media, and a wide variety of traditional industries.

Physician Practices
Our attorneys represent and advise physician practices in all aspects of structuring, negotiating, and executing complex acquisitions with private equity and venture capital firms. Over the past few years alone, we have served as counsel on sale side transactions representing physician practices in multiple states and in various specialty areas, including ENT, orthopedics, gastroenterology, family medicine, internal medicine, neurosurgery, pain management, pediatrics, oncology, and ophthalmology. We have extensive experience structuring complex private equity transactions and work with clients on due diligence and risk analysis, tax, real estate, health care regulations, and corporate matters. Since we represent hundreds of private physician practices, we understand the industry and work with physician clients selling to private equity to ensure a successful outcome after closing.
Dental/Orthodontic Providers
Our attorneys represent and advise the firm’s dental and orthodontic clients in all aspects of practice formation, operations, growth, and exit/sale, including business entity formation, contracts and agreements, employment matters, loans, dental-specific regulatory matters, practice acquisitions and mergers, private equity investment (including related dental service organization (DSO) structures), tax, and estate planning. Our attorneys also represent and advise lenders in specialty loans to dental practices/DSOs, and private equity firms that invest in the growth of dental practices/DSOs.
